These Terms of Service govern your use of the Property Nexus Directory and the related products, features, apps, services, technologies and software that we offer (“the Directory”).

Services we provide

Our Directory enables businesses and other members of the UK property industry to connect with each other. To achieve this, we provide the products and services as part of our Directory described below to you:

• We use the data we have about the connections you make, the choices and settings you select, and what you share and do on our Directory to personalise your experience.

• We help you find and connect with people, groups, businesses, organisations and others that matter to you. We use the data that we have to make suggestions for you and others – for example, events to attend, and people or businesses who you may want to connect with.

• We allow you to communicate with other users on the Directory – for example, sharing business listing information, sending messages to another person, business or several people, or adding content to your user business profile.

• We show you ads, offers and other sponsored content to help you discover content, products and services that are offered by the many businesses and organisations that use our Directory. Our sponsors pay us to show their content to you.

• We adopt reasonable measures to detect misuse of our Directory and if detected we will take appropriate action – for example, removing content, blocking access to certain features, disabling an account or contacting law enforcement.

• We engage in research and collaborate with others to improve our Directory. One way we do this is by analysing the data we have and understanding how people use our Directory.

• Our Directory helps you find and connect with people, groups, businesses, organisations and others in the UK property industry that are important to you.

Privacy

We collect and use your personal data in order to provide the services described above to you. You can learn about how we collect and use your data in our Privacy Statement.

Your obligations when using our Directory

When you use our Directory you have the following obligations:

(1) Who can use the Directory

You must:

• Use the same name that you use in everyday life.
• Provide accurate information about yourself and your business.
• Create only one account and listing (for a single business) to be used you and your business.
• Not share your password, give access to your Directory account to others or transfer your account to anyone else (without our permission).

You cannot use the Directory if:

• You are under 13 years old.
• You are a convicted sex offender.
• We’ve previously disabled your account for breaches of our Terms or Policies.
• You are prohibited from receiving our products, services or software under applicable laws.

(2) What you can share and do on the Directory

You agree not to engage in the conduct described below (or to facilitate or support others in doing so):

1. You may not use our Directory to do or share anything:

• That breaches these Terms, and any other terms and Policies that apply to your use of the Directory.
• That is unlawful, misleading, discriminatory or fraudulent.
• That infringes or breaches someone else’s rights.

2. You may not upload viruses or malicious code, or do anything that could disable, overburden or impair the proper working or appearance of our Directory.

3. You may not access or collect data from our Directory using automated means (without our prior permission) or attempt to access data that you do not have permission to access.

We can remove content that you share in breach of these provisions and, if applicable, we may take action against your account. We may also disable your account if you repeatedly infringe other people’s intellectual property rights.

We encourage you to report content or conduct that you believe breaches your rights (including intellectual property rights) or our Terms and Policies.

(3) Permissions you give us

We need certain permissions from you to provide our services:

1. Permission to use content that you create and share: You own the content that you create and share on the Directory, and nothing in these Terms takes away the rights that you have to your own content. You are free to share your content with anyone else, wherever you want. To provide our services though, we need you to give us some legal permissions to use that content. Specifically, when you share, post or upload content that is covered by intellectual property rights (e.g. photos or videos) on or in connection with our Directory, you grant us a non-exclusive, transferable, sub-licensable, royalty-free and worldwide licence to host, use, distribute, modify, run, copy, publicly perform or display, translate and create derivative works of your content. You can end this licence any time by deleting your content or account. You should know that, for technical reasons, any content that you delete may persist for a limited period of time in backup copies (though it will not be visible to other users). In addition, content you delete may continue to appear if you have shared it with others and they have not deleted it.

2. Permission to use your name, your business name and profile picture and information about you and your business’ actions with ads and sponsored content: You give us permission to use your name and your business name and profile picture and information about actions that you or your business have taken on the Directory next to or in connection with ads, offers and other sponsored content that we display across our Directory, without any compensation to you.

3. Permission to modify any information submitted by you on the Directory to take into account any upgrades we make to the Directory or to ensure listings on the Directory are shown correctly and consistently. For example:

– if we add more specific categories or sub-categories of businesses to the Directory then we may move your business listing to one of these new categories or sub-categories where we deem this appropriate, or

– if a business listing is submitted to the Directory but some of the optional fields relating to individual professional listings only are incorrectly completed then we may delete the information submitted in these optional fields to ensure the business listing is shown correctly without this information and to ensure the business listing is consistent with how other business listings are shown on the Directory

4. Permission to update software that you use or download: If you download or use our software, you give us permission to download and install upgrades, updates and additional features to improve, enhance and further develop it.

(4) Limits on using our intellectual property

If you use content covered by intellectual property rights that we have and make available in our Directory (for example, images, designs, videos or sounds that we provide, which you add to content you create or share on the Directory), we retain all rights to that content (but not yours). You can only use our copyrights or trademarks (or similar marks) with our prior written permission. You must obtain our written permission (or permission under an open source licence) to modify, create derivative works of, decompile or otherwise attempt to extract source code from us.

Updating our Terms

We may need to update these Terms from time to time to accurately reflect our services and practices which will be shown on this page on our Directory and therefore you should regularly check this page. Once any updated Terms are in effect, you will be bound by them if you continue to use our Directory. If you do not agree to our updated Terms and no longer want to be a part of the Directory, you can delete your account at any time.

Account suspension or termination

If we determine that you have clearly, seriously or repeatedly breached our Terms or Policies we may suspend or permanently disable access to your account (including deleting or modifying any listings or other information you have published on the Directory and any messages sent to other users of the Directory). We may also suspend or disable your account (including deleting or modifying any listings or other information you have published on the Directory and any messages sent to other users of the Directory) if required to do so by law.

Directory suspension or termination

We reserve the right in the future to suspend or terminate the Directory at any time and for any reason in our absolute discretion. Should we do so, then we may permanently disable and delete your account (including deleting or modifying all listings or other information you have published on the Directory and any messages sent to other users of the Directory) or we may transfer this account to any replacement version of the Directory which we publish.

Limits on liability

We will use reasonable skill and care in providing our Directory to you and in keeping a safe, secure and error-free environment, but we cannot guarantee that our Directory will always function without disruptions, delays or imperfections. We do not accept responsibility for: losses not caused by our breach of these Terms or otherwise by our acts; losses that are not reasonably foreseeable by you and us at the time of entering into these Terms; any offensive, inappropriate, obscene, unlawful or otherwise objectionable content posted by others that you may encounter on our Directory; and events beyond our reasonable control.

We also make no recommendations regarding the quality of service, reputation or otherwise of any businesses or persons who have made listings on our Directory, and we accept no liability for any loss or damage arising from this.

Governing law

Your use of the Directory will be governed by and construed in accordance with the laws of England and any disputes or claims between you and Property Nexus will be decided only by the Courts of England.
